Terms and Conditions
These Terms and Conditions ("Terms") govern your access to and use of the software products and services ("Product") provided by ResEt AI Solutions Private Limited ("ResEt AI", "we", "us", or "our").
By purchasing, accessing, or using the Product, including through self-checkout, you agree to be bound by these Terms.

Eligibility and Authority
You represent that:
- You are using the Product for business or professional purposes.
- You have the authority to bind the legal entity on whose behalf the Product is used.
- Your use of the Product complies with applicable laws and regulations.

Plans, Self-Checkout, and Commercial Structure
- ResEt AI offers the Product under three subscription plans: Base, Pro, and Ultra.
- Subscriptions may be purchased directly through ResEt AI's self-checkout mechanism. Each plan details are described on the ResEt AI website or checkout interface at the time of purchase.
- Plan descriptions, pricing, features, and limits displayed at the time of purchase are incorporated into these Terms by reference.

Term and License Duration
- Each subscription is licensed for a fixed term, selected at the time of purchase, which may be either one month or one quarter (three consecutive months).
- The subscription term begins on the date payment is successfully processed and continues until the earlier of expiry of the selected term or exhaustion of all credits allocated to the subscription.
- Upon expiration or credit exhaustion, access to the Product may be limited or suspended until renewal.

Renewals and Plan Changes
- Subscriptions may be renewed only after the applicable subscription term has expired or all allocated credits have been fully consumed, whichever occurs first.
- Mid-term upgrades, downgrades, or plan changes are not permitted during an active subscription term.
- Unused credits or unused subscription time do not roll over to subsequent terms unless explicitly stated at the time of purchase or renewal.

Credits and Usage
- Credits represent the right to use specific Product features or processing capacity, as defined by the applicable plan.
- Credits are issued at the organization level, associated solely with the purchasing legal entity, and non-transferable.
- Credits may not be sold, transferred, assigned, sublicensed, shared, or pooled with credits purchased by another company or legal entity, including affiliated or group companies.
- Credit usage is calculated automatically by the Product. All usage records displayed within the Product are final and authoritative.
- Once credits are consumed, they cannot be reversed, re-credited, or disputed.

Fees, Payments, and Taxes
- All fees are payable in advance through the payment methods supported at checkout.
- Payments are processed by third-party payment processors, and you agree to their applicable terms.
- All fees are exclusive of taxes. Applicable taxes, including GST or VAT, will be added where required by law.
- Failure to complete payment may result in suspension or termination of access.

Cancellation and Refunds
- All purchases made through self-checkout are final.
- Subscriptions cannot be cancelled once activated. Fees paid are non-refundable, including in cases of partial use, unused credits, early termination, or change in business requirements.
- No refunds or credits will be issued except where required by applicable law.

License Grant and Restrictions
- ResEt AI grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Product during the applicable subscription term.
- You may not: reverse engineer, decompile, or disassemble the Product; circumvent security or usage limits; use the Product to build or benchmark competing products; or use the Product for unlawful purposes.

Customer Data and Data Rights
- You retain all rights to data you upload or submit to the Product ("Customer Data").
- You grant ResEt AI a limited license to process Customer Data solely to provide the Product.
- ResEt AI does not use Customer Data to train foundation models or large language models.
- ResEt AI implements reasonable technical and organizational measures designed to protect Customer Data against unauthorized access, loss, or disclosure.
- Customer Data is retained for up to 30 days following subscription expiry, after which it is permanently deleted, unless retention is required by applicable law. You are responsible for maintaining your own backups of Customer Data.

Plan Modifications
- ResEt AI may modify plan features, usage limits, credit consumption rules, or benefits.
- Advance notice of material changes will be provided. ResEt AI will make reasonable efforts to ensure such changes do not materially reduce core functionality during an active paid term.
- Changes generally apply at renewal unless required for legal, security, or operational reasons.

Support
- Self-checkout subscriptions include standard support only, as described on the ResEt AI website.
- Priority support, SLAs, onboarding, training, or professional services are not included unless separately purchased under a written agreement.

Fair Use and Abuse Prevention
- You may not use the Product in a manner that causes system abuse, excessive load, unauthorized scraping, benchmarking, or reverse engineering.
- ResEt AI may suspend or restrict access if it reasonably determines that usage violates these Terms. Such suspension does not entitle you to refunds or credits.

Outputs and Decision Responsibility
- The Product provides outputs that are advisory in nature.
- You are solely responsible for decisions, actions, and outcomes resulting from use of the Product and its outputs. ResEt AI makes no guarantees regarding accuracy, completeness, or suitability for any purpose.
- The Product is not intended for safety-critical, life-critical, or regulated decision-making without appropriate human review.

Account Responsibility
- You are responsible for all activity under your account, including actions by authorized users.
- You must safeguard account credentials and manage user permissions. ResEt AI is not responsible for unauthorized access resulting from your failure to do so.

Intellectual Property
- ResEt AI and its licensors retain all rights, title, and interest in the Product and related intellectual property.
- Feedback you provide may be used by ResEt AI without restriction or obligation.

Confidentiality
- Each party agrees to protect the other's confidential information and use it only as permitted under these Terms.

Warranties and Disclaimers
- The Product is provided "as is" and "as available."
- ResEt AI disclaims all warranties to the fullest extent permitted by law, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Limitation of Liability
- ResEt AI shall not be liable for indirect, incidental, consequential, or loss-of-profit damages.
- Total liability is capped at the fees paid for the applicable subscription in the 12 months preceding the claim. This cap applies per subscription, not per claim.

Indemnification
- You agree to indemnify and hold harmless ResEt AI from claims arising from your use of the Product, Customer Data, or violation of these Terms.

Suspension and Termination
- ResEt AI may suspend access for non-payment, credit exhaustion, security concerns, or material breach.
- Either party may terminate for uncured material breach after 30 days' written notice.
- Upon termination, your license ends and use must cease.

Compliance and Export Controls
- You agree to comply with applicable export, sanctions, and anti-corruption laws.

Governing Law and Jurisdiction
- These Terms are governed by the laws of India. Courts in Bengaluru, Karnataka have exclusive jurisdiction.

- Notices may be provided via email or in-product notifications. Legal notices to ResEt AI must be sent to legal@reset-ai.com.

General Provisions
- Assignment restrictions, force majeure, severability, and waiver provisions apply as per standard commercial terms.
